If your PC dosen't have net access, at that point if Windows decides you need a new activation code from Microsoft, You'd have to call them and manually enter it.
 
I've had to call them to activate a copy of Office, and it really wasn't a hassle at all.
More of an annoyance, but I can see where they are coming from.
 
I'm sure the constant barrage of updates they do to XP aren't cheap either.
But neither is paying $160 for your OS.....
