fair price for a 74 MGBGT?

I have found a 1974 MGBGT I am interested in and I was wondering if you could 
advise me as to whether it's a fair deal.  It's in good mechanical condition 
with new paint, carpet, and upholstery.  The underbody is rusted, of course, 
but still sound, from what I have seen.
     I have not yet driven it.  It's missing the spare wheel and the tools.  
He's asking $2200 for it.  It has the original engine with no known rebuild and
-an estimated 125k miles.  Is this a fair price assuming it drives well?
-    I assume that an engine rebuild is in it's future soon, with that kind of 
mileage.  How expensive is this to do if I do the work myself...and is it 
feasible for someone who has never done it before to rebuild it reliably?
