How much should I pay?

Its said that there is safety in numbers, so I'll ask the many knowledgeable 
out there.
I've come upon a '67 phase three BJ8 that I'm thinking of buying. Car was 
used until 1974 and the clock reads 40,000 mi. Then it was put into storage 
where 
is sat until a couple of years ago and the owner decided to start the 
restoration. It has now been completely disassembled and the owner has offered 
it to 
me. It and everything that came off are in one place and have never been moved 
around, the car was complete and unmolested, so everything is there.
Being disassembled makes inspecting it very easy and I can see that:
       1. The frame is straight with very little rust. - Still has original 
paint.
       2. There are some small rust holes in the dog legs and floor.
       3. The outriggers and sills are good.
       4. Paint is original - but obviously badly chalked
       5. Engine (out of car) was running when put away and is supposed to 
still           turn. Would do a rebuild. Ditto for the tranny.
       6. All of the interior, top, tonneau, are there but too old to think 
of using.
       7. Owner has bought all of the dog leg patches as well as some other   
                 parts needed for the restoration.
I have done other Healeys and know what will be involved in a total 
restoration and that doesn't scare me. I don't want to steal it from the owner, 
but 
don't want to overpay either. What is a fair and reasonable offer for this car?
