The plugs allow you to drain water in the event of a flood in your car. They
are not valves. You should have one near the cross frame in front of the
seats, and another one near the back of each seat, close to the door sill on
each side. Make sure they are in place, or you will soak the carpet when you
drive in the rain, promoting rusty floorboards.

I replaced my carpet with the cheap stuff from Pep Boys. (Good instructions
for this are found on the PDLJMPR Web site: http://members.tripod.com/PDLJMPR
.) The thick gray padding is only under the front tranny cover portion. It
was in good shape so I left it alone. I don't think any carpet kits would
include the padding, but I may be wrong. It is probably good for keeping the
noise level down.
You can also get Dynamat padding, which is used for sound insulation. It's a
bit expensive.
