That's absolutely true.  But in practice, the BOD doesn't appoint SEB
members on their own; they take input from the existing SEB about who
should be considered for the following year.  For the most part, people
apply to the SEB, who vets the applicants and makes recommendations to
the BOD.

It's certainly possible for the BOD to apppoint someone never considered
by the SEB -- while this is unusual, it has been known to happen.
